(“Rakka” or "us" or "we" or "our"), having its registered office located at Flat 201, Sagacity Heights, Kavuri Hills Rd, CBI Colony, Madhapur, Telangana, India. Please read the Conditions of Use document carefully before using the website. By using the Onlybevs website, you (“Consumer”) signify your agreement to be bound by Onlybevs's Conditions ofUse. By accessing, registering on or using the Onlybevs website or by using the Services provided by Us, as defined below, the Consumer agrees to be bound by the terms and conditions set forth below including any additional guidelines and future modifications thereto. If, at any point of time, the Consumer does not agree to these terms and conditions or does not wish to be bound by any of these terms and conditions, the Consumer may not access or use the Onlybevs website and terminate this Agreement, in terms hereof.

The Rakka company is authorised to collect and process personal information, which is subject to Privacy Notice. We also share limited and restricted information with third-party service providers. For example, we use third-party service providers to fulfil orders for products or services, and to deliver packages. For any further details on our security practices please read our Privacy Notice.

This document is an electronic record in compliance with the Information Technology Act, 2000 and the Rules and Regulations framed there under, as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Conditions of Use / Conditions of Sale

Please read these conditions carefully before using the Onlybevs website. By using the Onlybevs website, you signify your agreement to be bound by these conditions.

The website will hereby commonly be referred by the term ” Onlybevs”, which provides a platform for sale of_non- alcoholic beverages solely sold and acquired by Rakka and to showcase non- alcoholic beverages (“Products”) on the platform created by licensed non- alcohol beverage manufacturers/retailers/merchants (hereinafter referred to as “Merchants”) and enables Consumer to search and pay for these Products through Merchants, and other licensees with retail privileges. We also act as an intermediary/ service provider, providing Consumer with this platform enabling Consumer to purchase the Products from Merchants and products manufactured or sold bythe independent Merchants and marketed by us.

We provide Consumer with third party payment solutions, payment support services, technology solutions and other related / ancillary services further. This may include delivery of the product to the selected destination via our platform as selected by the Consumer (hereinafter referred to as the “Services”).(hereinafter referred to as the “Services”). We do not warrant or take any responsibility or liability in respect of the services provided by the Merchant.

Conditions Relating to Sale of Product

Your order is an offer to us to buy the product(s) in your order. When you place an order to purchase a product from us, you will receive an e-mail confirming receipt of your order and containing the details of your order (the “Order Confirmation E-mail”). The Order Confirmation E-mail is acknowledgement that we have received your order, and does not confirm acceptance of your offer to buy the product(s) ordered. We only accept your offer, and conclude the contract of sale for a product ordered by you, when the product is dispatched to you and an e-mail confirmation is sent to you that the product has been dispatched to you (the “Dispatch Confirmation E-mail”). If your order is dispatched in more than one package, you may receive a separate Dispatch Confirmation E-mail for each package, and each Dispatch Confirmation E-mail and corresponding dispatch will conclude a separate contract of sale between you and us for the product(s) specified in that Dispatch Confirmation E-mail.

Your contract is with us and you confirm that the product(s) ordered by you are purchased for your internal / personal purpose and not for re-sale or business purpose. You authorize us to declare and provide declaration to any governmental authority on your behalf stating the aforesaid purpose of the products ordered by you on the website.

You can cancel your order for a product at no cost any time before we send the Dispatch Confirmation E-mail relating to that product.

Conditions Relating to Your Use of Onlybevs

Your Account

If you use the website, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer to prevent unauthorised access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner. Please ensure that the details you provide us with are correct and complete and inform us immediately of any changes to the information that you provided when registering. You can access and update much of the information you provided us with in the “Your account” area of the website. You agree and acknowledge that you will use your account on the website to purchase products only for your personal use and not for business purposes.

Consumer shall be solely responsible for maintaining the confidentiality of Consumer's User ID and Pin/Passcode and shall be responsible for all activities that occur under Consumer's User ID. Consumer agrees that if Consumer provides any information that is inaccurate, false or incomplete or we have sufficient reasonable evidence or grounds to suspect that such information is inaccurate, false or incomplete or not in accordance with this Agreement, Onlybevs reserves the right to refuse access to the website, terminate accounts, remove or edit content at any time without notice to you.

Consumer is fully responsible for providing the proper email id at the time of sign-up and Consumer acknowledge to receive emails relating to Consumer’s Onlybevs Account / Payment Gateway account and the product communications to Consumer’s registered email id.

Our official language of Consumer communication is English. By Consumer’s acceptance of the present T&C, we note Consumer’s preference to receive all communications from Onlybevs in the English language.
Consumer agrees to:

a) Immediately notify Onlybevs of any unauthorized use of Consumer’s mobile number or the Onlybevs Account or Payment Gateway or any other breach of security, and
b) Ensure that Consumer exit from Consumer’s Onlybevs Account at the end of each session.
c) Onlybevs or Rakka shall not be liable for any loss, damage or other liability arising from Consumer’s failure to comply with this clause or from any unauthorized access to or use of the Onlybevs Account.

Privacy

Please review our Privacy Notice, which also governs your visit to Onlybevs, to understand our practices. The personal information / data provided to us by you
during the course of usage of Onlybevs will be treated as strictly confidential and in accordance with the Privacy Notice and applicable laws and regulations. If you object to your information being transferred or used, please do not use
the website.

E-Platform for Communication

You agree, understand and acknowledge that the website is an online platform that enables you to purchase products listed on the website at the price indicated therein at any time from any location. You further agree and acknowledge that Onlybevs is the sole seller for Products (“RIPPR”, “YOKAYI”,“STRAIGHT CLUB”, “ALT.VINO”, and you further agree and acknowledge that Onlybevs is only a facilitator for the rest of the products advertised herein, therefore,cannot be a party to or control in any manner any transactions on the website. Accordingly, the contract of sale of products (other than products for which Onlybevs is the sole seller) on the website shall be a strictly bipartite contract between you and the Merchant.

Our Services enable the Consumer to search, select, place an order and pay for various Products with the Merchant. All transactions are solely made between
Consumer and the Merchant. The Consumer acknowledges and agrees that we do not sell, offer to sell, invite to sell, sell or deliver the products (other than products for which Onlybevs through Rakka is the sole seller). In all instances, all sales are advertised, accepted, made and delivered by the Merchants who receive all orders and offers.

Access to Onlybevs Services.

We will do our utmost to ensure that availability of the website will be uninterrupted and that transmissions will be error-free. However, due to the nature of the Internet, this cannot be guaranteed. Also, your access to the website may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction.

Licence for website access

Subject to your compliance with these Conditions of Use and payment of applicable fees, if any, Onlybevs grants Consumer a non-transferable, non-exclusive limited license to access and make personal use of the Services and the Onlybevs website which shall be subject to the terms and conditions contained in this Agreement. The license allows Consumer to use the Services for Consumer’s personal, non-commercial use.

This licence does not include any resale or commercial use of this website or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this website or its contents; any downloading or copying of account information for the benefit of another Merchant/seller; or any use of data mining, robots, or similar data gathering and extraction tools.

This website or any portion of this website (including but not limited to any copyrighted material, trademarks, or other proprietary information) may not be reproduced, duplicated, copied, sold, resold, visited, distributed or otherwise exploited for any commercial purpose without express written consent of Onlybevs and / or its affiliates, as may be applicable.

You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Onlybevs and its affiliates without express written consent. You may not use any meta tags or any other “hidden text” utilising Onlybevs or its affiliates’ names or trademarks without the express written consent of Onlybevs and / or its affiliates, as applicable. Any unauthorised use terminates the permission or license granted by Onlybevs and / or its affiliates, as applicable.

Your Conduct

You must not use the website in any way that causes, or is likely to cause, the website or access to it to be interrupted, damaged or impaired in any way You understand that you, and not Onlybevs, are responsible for all electronic communications and content sent from your computer to us and you must use the website for lawful purposes only. You must not use the website for any of the following:

for fraudulent purposes, or in connection with a criminal offense or other unlawful activity
to send, use or reuse any material that does not belong to you; or is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, insulting or harassing, blasphemous, defamatory, libelous, obscene, pornographic, paedophilic, or menacing; ethnically objectionable, disparaging or in breach of copyright, trademark, patent, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, defence, security or sovereignty of India or friendly relations with foreign States or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other nation; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource, political campaigning, commercial solicitation, chain letters, mass mailings or any “spam; or is patently false and untrue.

Processing and Delivery of Products

All Users are required to create Payment Gateway account (as defined hereinafter) and all payments in respect of the Products are to be made exclusively through the Payment Gateway, the monetary value of which will be received by the respective Merchants from whom Consumer purchase the Products. At the time the Consumer performs a transaction, Consumer’s Payment Gateway will be loaded/reloaded through a third party payment gateway, which will, subject to the terms and conditions agreed with the payment gateway, transfer and deliver the funds to the Merchant. The use of the Payment Gateway shall be governed by the EaseBuzz Payment Gateway – Terms of Use” which is accessible here. The sale of the relevant Products shall be deemed to be completed at the licensed premises as per Applicable Laws. All deliveries shall be subject to compliance as laid down by the State Excise Regulations.

If the Consumer fails to accept delivery on due date, Merchant/Seller will have no obligation for any refund whatsoever against the pre-paymen

t for delivery of the Goods had been accepted.

The deadlines and time periods indicated by Onlybevs are not binding, unless agreed otherwise in writing. Onlybevs is not responsible for delays of delivery due to Force Majeure, change in Government Policy or due to such events which may make the delivery considerably more difficult or impossible for Onlybevs to abide with, even if binding time periods and delivery deadlines have been agreed. Those events permit Onlybevs to delay the delivery or service for the duration of the hindrance, or to withdraw from the contract in full or in part in relation to that part that has not been fulfilled. Onlybevs is permitted to carry out partial services or deliveries within the permitted statutory delivery timelines.

All order acceptances are given exclusively on the basis of these General Terms and Conditions of Sale and Delivery. Supplements, Amendments and Verbal Agreements shall require a written confirmation by the Merchant/Seller to be legally binding. Revocation of an order already sent by the Purchaser and confirmed by the Merchant/Seller shall be inadmissible. Changes in the terms of the order (quantity, reference or technical specifications) shall only be admissible within 24 hours after the order confirmation has been sent by the Merchant/Seller.

Onlybevs does not make any representation or warranty as to the item-specifics (such as legal title, creditworthiness, identity, etc.) of any of the Merchants. Consumers are advised to independently verify the bona fides of any particular Merchant that Consumers choose to deal with on the Platform and use Consumer’s best judgment on that behalf. All Merchants offers and third-party offers are subject to the respective party terms and conditions. Onlybevs takes no responsibility for such offers.

Onlybevs neither makes any representation or warranty as to specifics (such as quality, value, saleability, etc.) of the products proposed to be sold or offered to be sold or purchased on the Platform nor does implicitly or explicitly support or endorse the sale or purchase of any products on the Platform. Onlybevs accepts no liability for any errors or omissions, whether on behalf of itself or third parties.

Onlybevs has integrated a third party PPI/Payment Gateway authorised by Reserve Bank of India and assumes the role of an intermediary and does not at any point of time during any transaction between Consumer and Merchant on the Platform come into or take possession of any of the products offered by the Merchant. At no time shall EaseBuzz hold any right, title or interest over the products nor shall EaseBuzz have any obligations or liabilities in respect of such contract entered into between Consumer and Merchant.

Neither Onlybevs nor any officer, director, employee, shareholder or agent of Onlybevs or Rakka shall be liable to the User or any third party for any claims relating to the reservation and/or consumption of the Products or any consequences which may result thereof.

Reviews, comments, communications and other content

Users of this website may post reviews, comments and other content; send communications; and submit suggestions, ideas, comments, questions, or other information, as long as the content is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties, or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam.” In the event a user uses a false e-mail address, impersonates any person or entity, or otherwise misleads as to the origin of any content. Onlybevs reserves the right (but not the obligation) to remove, refuse, delete or edit any content that in the sole judgement of Onlybevs violates these Conditions of use and, or terminate your permission to access or use this website.

Acceptable Use and Restrictions.

Consumer agrees to protect the Services, and their proprietary content, information and other materials, from any unauthorized access or use, and Consumer agrees that the Consumer will not use the Services or such proprietary content, information or other materials except as expressly permitted herein or expressly authorized by us. Consumer agrees that:

Consumer will not use the Services/Products solely sold by Onlybevs for commercial purposes.
if Consumer are not fully able and legally competent to agree to these Terms
Consumer will not engage in any behaviour which is in violation of any law in force
Consumer will not impersonate any other person or entity, falsely claim or otherwise misrepresent an affiliation with any person or entity, or access the accounts of others without permission, forge another persons’ digital signature, misrepresent the source, identity, or content of information transmitted via the Services, perform any other similar fraudulent activity or otherwise purchase recharge with what We reasonably believe to be potentially fraudulent funds
Consumer will not infringe or try to infringe our or any third party’s intellectual properties including but not limited to patent, trademark, copyright or other proprietary rights
Consumer will not host, display, upload, modify, publish, transmit, update or share any message / information which is libellous, defamatory or which discloses private or personal matters concerning any person
Consumer will not host, display, upload, modify, publish, transmit, update or share any message, data, image or program which is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, libellous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, paedophilic, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner
Consumer will not refuse to cooperate in an investigation or provide confirmation of Consumer’s identity or any other information Consumer provides to Onlybevs, the Merchant, if required by any law enforcement, legal or government agencies or Merchant
Consumer will not make or seek to make payment to the Merchants other than through the EaseBuzz Application/Payment Gateway
Consumer will not remove, circumvent, disable, damage or otherwise interfere with security-related features of the Services and the Onlybevs website or features that prohibit access to the Onlybevs website or the Services in any manner or enforce limitations on the use of the Services
Consumer will not reverse engineer, disassemble or otherwise attempt to discover or discover the source code of the Onlybevs website or any part thereof, except and only to the extent that such prohibition is expressly prohibited by applicable law notwithstanding this limitation
Consumer will not attempt to obtain any information or content from the Services using any robot, spider, scraper or other automated means for any purpose
Consumer will keep secure and confidential Consumer’s details of the Onlybevs Account or any identification we provide Consumer which allows access to the Services
Consumer will only use an access point or data account which Consumer are authorized to use
If Consumer choose to use the Platform, it shall be Consumer’s responsibility to treat Consumer’s user identification code, password and any other piece of information that we may provide, as part of our security procedures, as confidential and not disclose the same to any person or entity other than us
We shall at times and at our sole discretion reserve the right to disable any user identification code or password if Consumer have failed to comply with any of the provisions of these Terms of Use.
The Products will be deemed to be sold only at places which are licensed premises as per Applicable Laws.
Consumer will provide proof of identity and age reasonably requested by the Delivery Agent, Merchant or its employee
Consumer will not use the Services in any manner that could damage, disable, overburden, or impair it, including, without limitation, using the Services in an automated manner
Consumer will not breach this Agreement and terms and conditions thereof or any other rule, regulation or policy, as introduced by us from time to time
Use the Services in a manner that results in or may result in complaints, disputes, reversals, chargebacks, fees, fines, penalties and other liability to Onlybevs, a third party or Consumer
Consumer shall not hold Onlybevs liable for any Services provided by the them including but not limited to anything that arises from the use of such Services or loss of belongings and assets or any security related issues

Pricing

The prices of the Products published on the Onlybevs website are prices based on pricing information provided to us by the Merchant and may not always reflect the prevailing pricing. The Merchant reserves the right to determine final prices of all their Products.

The total price in single figure of any good or service, along with the breakup price for the good or service, showing all the compulsory and voluntary charges such as delivery charges, postage and handling charges, conveyance charges and the applicable tax, as applicable. mandatory notices and information provided by applicable laws, and the expiry date of the good being offered for sale, where applicable; .
goods and services offered for sale by the seller including country of origin which are necessary for enabling the consumer to make an informed decision at the pre-purchase stage; .
importer and the guarantees related to the authenticity or genuineness of the imported products; and.

Copyright, authors’ rights and database rights

All content included on the website, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property Onlybevs, its affiliates or its content suppliers and is protected by India and international copyright, authors’ rights and database right laws. The compilation of all content on this website is the exclusive property of Onlybevs and its affiliates and is protected by laws of India and international copyright and database right laws.

Disclaimer

You acknowledge and undertake that you are accessing the services on the website and transacting at your own risk and are using your best and prudent judgment before entering into any transactions through the website. You further acknowledge and undertake that you will use the website to order products only for your personal use and not for business purposes. We shall neither be liable nor responsible for any actions or inactions of Merchants/sellers nor any breach of conditions, representations or warranties by the Merchants/sellers or manufacturers of the products and hereby expressly disclaim and any all responsibility and liability in that regard. We shall not mediate or resolve any dispute or disagreement between you and the sellers or manufacturers of the products.

We further expressly disclaim any warranties or representations (express or implied) in respect of quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, merchantability, fitness for a particular purpose, or legality of the products listed or displayed or transacted or the content (including product or pricing information and/or specifications) on the website. While we have taken precautions to avoid inaccuracies in content, this website, all content, information (including the price of products), software, products, services and related graphics are provided as is, without warranty of any kind.

Indemnity and Release

Consumers agree to indemnify, save, and hold Us, our promoters, directors, affiliates, contractors, service providers, employees, officers, agents and its third party suppliers, licensors, and partners harmless from any and all claims, losses, damages, and liabilities, costs and expenses, including without limitation legal fees and expenses, arising out of or related to Consumer’s use or misuse of the Onlybevs website, violation of the terms and conditions of this Agreement, or any breach of the representations, warranties, and covenants made by Consumer herein. We reserve our right, at Consumer’s expense, to assume the exclusive defence and control of any matter for which Consumer are required to indemnify us, including rights to settle, and Consumer agree to cooperate with Us to defend and settle the claims. We will make reasonable efforts to notify Consumer of any claim, action, or proceeding brought by a third party that is subject to the foregoing indemnification upon becoming aware of it. This clause shall survive termination of this Agreement.

Liabilities and Damages

In no event will We or our contractors, directors, officers, agents, licensors, partners be liable to Consumer for any special, indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to lost business opportunities, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage of any nature whatsoever, arising out of or relating to (i) this Agreement, and (ii) the use or inability use the Onlybevs website.

Ownership: Proprietary Rights

All rights, including copyright, in the Onlybevs website are owned or controlled for these purposes by us. Except where expressly stated otherwise, Consumer are not permitted to do any derivative work, copy, download, store (in any medium), transmit, broadcast, show or display in public, adapt or change in any way the content on the Onlybevs website for any purpose whatsoever without Our prior written permission. Violators will be prosecuted to the maximum extent possible under Applicable Laws. Any other rights, not expressly granted herein, are reserved.

Losses

We will not be responsible for any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that is not reasonably foreseeable to both you and us when you commenced using the website.

Alteration of Service or Amendments to the Conditions

We reserve the right to make changes to our website, policies, and these Conditions of Use at any time. You will be subject to the policies and Conditions of Use in force at the time that you use the website or that you order goods from us, unless any change to those policies or these conditions is required to be made by law or government authority (in which case it will apply to orders previously placed by you). If any of these conditions is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.

Events beyond our reasonable control

We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your statutory rights.

Waiver

If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

Governing law and Jurisdiction

These conditions are governed by and construed in accordance with the laws of India. You agree, as we do, to submit to the exclusive jurisdiction of the courts at Hyderabad.

Termination of Agreement

Consumer agree that We, in our sole discretion, for any or no reason, may suspend or terminate Consumer’s Account (or any part thereof) or terminate this Agreement, at any time without assigning any reason. Consumer agree that any termination may be effected without prior notice, and Consumer agree that, we will not be liable to Consumer or any third party for any such termination. Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies we may have at law or in equity.

Upon termination of this Agreement for any reason, we will block Consumer’s access to the website and delete Consumer’s Account. In case of termination of this Agreement, any amounts standing in Consumer’s name in the Payment Gateway, shall be refunded to Consumer, in accordance with the terms governing the website /Payment Gateway and Applicable Laws.

Disputes Resolution

Disputes are defined as any claim, controversy, or dispute between Consumer and Onlybevs including any claims relating in any way to the present Agreement, any supplemental Terms, or the services, amendments, or any other aspects of the Agreement.

Any dispute arising between parties shall be finally and exclusively resolved by Arbitration governed by the Indian Arbitration Act and amendments made from time to time. A judgement on arbitration award be entered by any Court of competent jurisdiction. The Language of the Arbitration shall be English, and the seat shall be at Hyderabad and venue shall be at Hyderabad.

Severability

If any provision of this Agreement is held to be unlawful, void, invalid or otherwise unenforceable, then that provision will be limited or eliminated from this Agreement to the minimum extent required, and the remaining provisions will remain valid and enforceable

Assignment

This Agreement, and any rights granted hereunder, may not be transferred or assigned by Consumer without our prior written consent which may be withheld in our sole discretion, but may be assigned by us without restriction. Any assignment attempted to be made in violation of this provision shall be void and of no effect.

Survival

Upon termination of this Agreement, any provision which, by its nature or express terms should survive, will survive such termination or expiration as applied to transfers and relationship prior to such termination or expiration.

Cancellations, Partial Orders and Refunds

As a general rule Consumer shall not be entitled to cancel Consumer’s order once Consumer have received confirmation of the same from the Merchant. If Consumer cancel Consumer’s order after it has been confirmed, Onlybevs shall have a right to charge Consumer a cancellation fee corresponding to the order value (inclusive of applicable taxes), with a right to either not to refund the order value or recover from Consumer’s subsequent order, the complete/ deficit cancellation fee, as applicable, to compensate our Merchant and delivery agents.

However, in the unlikely event of an item on Consumer’s order being unavailable, we will contact Consumer on the phone number provided to us at the time of placing the order and inform Consumer of such unavailability. In such an event Consumer will be entitled to modify or cancel the entire order and shall be entitled to a refund in accordance with our refund policy.
